What does a Private Label agreement actually cover?
It covers your brand on an existing product: logo application, packaging, manual, labels, barcode position, carton and set composition. It does not include naming, brand strategy or a new visual identity, and it does not transfer the product platform to you.
Private Label means your name on a product that already exists and already works. The platform, the tooling and the engineering stay with the manufacturer; what changes is what the customer sees.
That is a feature, not a limitation. It is why a Private Label order can start at a few hundred units instead of funding a development programme, and why the first delivery arrives in weeks rather than quarters.
Naming, visual identity, brand strategy and design consulting are separate work, and treating them as part of a Private Label order is how projects lose money on both sides. If you need them, they should be a priced deliverable with its own scope.
Also not included: ownership of the platform. Your artwork, your packaging design and anything you pay to develop are yours. The structure, the electronics and the manufacturing know-how are not.
Fully white label is normal in this category: the product, the packaging and the manual can all carry your brand with nothing from the manufacturer visible.
The exception is legal, not commercial. Most markets require the manufacturer, importer or responsible operator to be identified somewhere on the product or its packaging. That information has to appear even on a white label order, and it has to name the correct entity. Agree early who that entity is in your market, because it cannot be decided at the label proof stage.
Who owns the artwork and the dielines? Get it in writing. If you paid for a packaging structure, you should know whether another customer can be sold the same box.
What happens when you reorder? A Private Label run is only useful if the second run matches the first. Ask what is retained — the golden sample, the print plates, the colour references — and for how long.
Write down the SKU, the market, the quantity and the deadline, and ask for a scope document before anyone opens a design file. The scope is what stops a Private Label project from quietly becoming a development project.
